Terms and Conditions of Use

The Terms and Conditions of Use (the “Terms”) govern access to and use of Universal Credit Transfer Explorer by you (“You”).

The language below is used in these Terms to mean the following:

“Your Data” means any content, data or other materials uploaded by You, or shared by You, through Transfer Explorer. The use of Your Data is also governed by the ITHAKA Privacy Policy.

"Hosted Content” means any content, data or other materials, including any information regarding courses, course credits, and course credit transferability, made available through Transfer Explorer by a Participating Institution or other party.

“Participating Institution(s)” means those educational institutions that make available through Transfer Explorer information regarding courses, course credits, and course credit transferability at its institution.

“Universal Credit Transfer Explorer” or “Transfer Explorer” means the service comprised of software and other electronic tools that is made available by ITHAKA to the general public that enables access to Hosted Content. “Universal Credit Transfer Explorer” refers to the software platform and tools only, and not to Your Data or any Hosted Content, and is subject to change, consistent with these Terms. ITHAKA reserves the right to modify the name of the Universal Credit Transfer Explorer service at its discretion.

1). LICENSES

1.1 License from ITHAKA. ITHAKA grants You a personal, limited, nonexclusive, nontransferable license to access and use Transfer Explorer, and, on behalf of the Participating Institutions, any Hosted Content made available through Transfer Explorer, in accordance with these Terms.

1.2 License from You. You grant ITHAKA a worldwide, non-exclusive, royalty-free, free-of-charge, sublicensable and transferable license to use Your Data (including to reproduce, distribute, prepare derivative works, publicly display and publicly perform it) in connection with: (a) making such Data available to You, and any third-parties You share Your Data with through Transfer Explorer, (b) improving the Transfer Explorer service and user experience, as well as related ITHAKA services, (c) research and development related to the use of Transfer Explorer and/or other course equivalency services, the student transfer experience, and other dimensions of student postsecondary success including by sharing it with third parties for those purposes and making aggregated, de-identified, or otherwise anonymized versions of Your Data publicly available.

2). USE OF TRANSFER EXPLORER

2.1 Permitted Uses: You may:

Use the Transfer Explorer service for the purpose of obtaining information regarding course transferability amongst Participating Institutions for your personal use, with the understanding that ITHAKA is not responsible for the accuracy of any Hosted Content as further described in Section 6 below; and
Use Transfer Explorer and the Hosted Content in accordance with the principles of fair use under Section 107 of the United States Copyright Act except if those uses violate any prohibited uses described under these Terms.

2.2 Prohibited Uses. You may not:

use Transfer Explorer in a manner that violates or infringes any Third Party Right, including, without limitation, any patent, trademark, trade secret, copyright or other proprietary or contractual right, or any Law (which term is used in these Terms to mean any jurisdiction’s law, statute, or regulation);
take any action to interrupt, destroy or limit the functionality of Transfer Explorer or other ITHAKA computer software or hardware or telecommunications equipment;
circumvent, modify, disable, or override any encryption or control features or other protections in Transfer Explorer;
intentionally interfere with or disrupt Transfer Explorer or servers or networks connected to Transfer Explorer;
attempt to reproduce, distribute, modify, adapt, translate, convert to another programming language, decompile, disassemble, or reverse engineer Transfer Explorer or any of its components, including Hosted Content, in whole or in part, for any purpose;
copy, sell, trade, or resell for any commercial purpose Transfer Explorer, any portion of Transfer Explorer or any Hosted Content;
make available the Hosted Content in a manner that would substitute for direct access to such content within the Transfer Explorer service;
use Hosted Content to train large language models or other generative AI technologies; or
systematically print out, download, reproduce or distribute (or collaborate with others to systematically print out, download, reproduce or distribute) significant portions or a bulk of any content in Transfer Explorer, including but not limited to any Hosted Content.

3). INTELLECTUAL PROPERTY (IP)

3.1. IP Rights in Transfer Explorer. Transfer Explorer, and any trademarks, issued patents and patent applications, copyrights and copyright registrations and applications, rights in ideas, designs, works of authorship, derivative works, and all other intellectual property rights (collectively, “Intellectual Property”) relating to Transfer Explorer is proprietary to ITHAKA and all Intellectual Property related to the Hosted Content provided by ITHAKA’s Participating Institutions is proprietary to them (with permission to ITHAKA to act on their behalf with respect to Hosted Content in Transfer Explorer), subject to the rights of third parties.

Except to the extent that ITHAKA expressly shares components of Transfer Explorer on an open source basis, nothing herein is intended to transfer or otherwise provide You with any rights of any kind to such materials, except for the limited license granted herein. You will not take any action that would impede, limit or alter ITHAKA’s or any third party’s ownership rights in Transfer Explorer, Hosted Content, or any related documentation.

3.2 DMCA. ITHAKA is relying on the online service provider protections of the Digital Millennium Copyright Act at 17 U.S.C. § 512 (“DMCA”) in providing Transfer Explorer. ITHAKA is required under the DMCA to expeditiously remove from its servers or disable access to Hosted Content or Your Data where ITHAKA learns or becomes aware that such content infringes the copyright of a third party. It is ITHAKA’s policy to terminate a user’s access to Transfer Explorer when that individual repeatedly infringes another’s copyright. Consistent with applicable Law, ITHAKA reserves the right to expeditiously remove any Hosted Content or any of Your Data, or links thereto, from its servers that allegedly infringe a third party’s copyright or the other provisions of these Terms, and to terminate access to Transfer Explorer by an individual that is a repeat infringer. ITHAKA will in no way be held liable for terminating access to Hosted Content, Your Data or Transfer Explorer or for the failure to notify You in advance of disabling access to or removing from its servers such content. If you believe that content in the Hosted Content violates your copyright or otherwise violates your rights, please send a written notice to directed to the Office of the General Counsel, ITHAKA, One Liberty Plaza, 165 Broadway, 5th, New York, NY, 10006 or send an email to the address listed at the U.S. Copyright Office DMCA Designated Agent Directory. Please provide with your notice the following information, consistent with the Digital Millennium Copyright Act (DMCA): (a) a signature of a person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work(s) claimed to have been infringed; (c) identification sufficient for ITHAKA to locate the infringing material and information; (d) your contact information including an address, e-mail address, and telephone number; (e) your statement that, in your good faith belief, use by the alleged infringing material is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate and you are authorized to act on behalf of the applicable rightsholder. If ITHAKA receives this notification or learns of the claim from another source, ITHAKA may remove such content while the claim is reviewed.

4). PRIVACY

We will use any personal information You provide to us in accordance with the ITHAKA Privacy Policy, which can be found at https://www.ithaka.org/privacypolicy/, which will be updated as the service evolves. ITHAKA does not knowingly collect personal information from anyone under the age of 16 and, if it learns it has collected such personal information, promptly will delete that information.

5). TERMINATION

5.1 Termination by You. You may stop using Transfer Explorer at any time. For information on how to delete Your Data from Transfer Explorer, or download a copy of Your Data, please visit the ITHAKA Privacy Policy.

5.2 Termination by ITHAKA. ITHAKA reserves the right to suspend or terminate Your access to Transfer Explorer if You: (a) You materially or repeatedly breach these Terms; (b) ITHAKA is required to do so to comply with a legal requirement or a court order; or (c) ITHAKA reasonably believes that there has been conduct that creates (or could create) liability or harm to any user, other third party, ITHAKA, or a Participating Institution.

5.3 Survival. On termination of these Terms, all rights and obligations contained herein will terminate, except as otherwise noted. Termination will not affect any provisions in this Agreement which by their nature survive termination or expiration, including but not limited to provisions regarding the following: definitions, effect of termination, limitations of liability, privacy, intellectual property, representations and warranties, indemnification, and choice of law and venue.

6). LIABILITY

6.1 Transfer Explorer as an Intermediary. ITHAKA does not select or screen the Hosted Content made available to You through Transfer Explorer. AS SUCH, IT IS YOUR RESPONSIBILITY TO CONFIRM WITH THE RELEVANT PARTICIPATING INSTITUTION WHETHER THE CONTENT AND INFORMATION MADE AVAILABLE THROUGH TRANSFER EXPLORER IS ACCURATE AND UP-TO-DATE.

UNDER NO CIRCUMSTANCES WILL ITHAKA BE LIABLE TO YOU IN ANY WAY IN CONNECTION WITH ANY HOSTED CONTENT, INCLUDING, BUT NOT LIMITED TO, CLAIMS (WHETHER THREATENED, ASSERTED OR FILED) BASED ON ANY ERROR OR OMISSION IN ANY HOSTED CONTENT, OR THE REMOVAL OF ANY HOSTED CONTENT OR YOUR DATA.

6.2 ITHAKA is not the publisher or speaker of any Hosted Content or Your Data, as set forth in the Communications Decency Act, 47 U.S.C. § 230(c)(1), and ITHAKA will not be liable for, or for any failure or delay in removing, any Hosted Content or Your Data.

6.3 Limitation of Liability. ITHAKA WILL IN NO WAY BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, DAMAGES, COSTS, OR ATTORNEYS’ FEES OR COSTS FOR ANY VIOLATIONS OF THESE TERMS BY YOU. IN NO EVENT WILL ITHAKA BE LIABLE FOR ANY INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. TRANSFER EXPLORER MAY NOT BE AVAILABLE FROM TIME TO TIME DUE TO SERVER MAINTENANCE, SOFTWARE INSTALLATION OR TESTING, AND DOWNTIME RELATING TO EQUIPMENT OR SERVICES OUTSIDE THE CONTROL OF ITHAKA, INCLUDING BUT NOT LIMITED TO PUBLIC OR PRIVATE TELECOMMUNICATIONS SERVICES OR INTERNET NODES OR FACILITIES. EXCEPT AS SPECIFICALLY PROVIDED OTHERWISE IN THESE TERMS, ITHAKA WILL NOT BE LIABLE FOR ANY LOSS, INJURY, CLAIM (WHETHER THREATENED, ASSERTED OR FILED), LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM THE UNAVAILABILITY OF TRANSFER EXPLORER, INTERRUPTION OF THE SERVICES PROVIDED HEREUNDER, OR ARISING OUT OF, OR IN CONNECTION WITH, ANY PARTY’S USE, REPRODUCTION, DISPLAY, DISTRIBUTION, OR PERFORMANCE OF OR ACCESS TO TRANSFER EXPLORER.

ITHAKA’S AGGREGATE LIABILITY FOR ANY CLAIMS UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT OF ANY MONEY PAID TO ITHAKA FOR USE OF THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS LESS.

6.4 Third Party Links. ITHAKA does not control, takes no responsibility for, makes no representations or warranties about, and does not endorse, Your Data, or any third-party sites or materials accessible through links in Transfer Explorer.

6.5 Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, TRANSFER EXPLORER IS BEING PROVIDED ON AN “AS IS” BASIS, AND ITHAKA DISCLAIMS TO THE FULLEST EXTENT OF THE LAW ANY LIABILITY, WARRANTIES, CONDITIONS, GUARANTEES AND REPRESENTATIONS OF ANY KIND (EXPRESS, IMPLIED, ORAL, OR WRITTEN) IN CONNECTION WITH TRANSFER EXPLORER, HOSTED CONTENT, YOUR DATA, AND ANY COMPONENTS OR PORTIONS THEREOF, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF QUALITY, PERFORMANCE, COMPATIBILITY, MERCHANTABILITY, ACCURACY, SECURITY, OR FITNESS FOR A PARTICULAR PURPOSE. ITHAKA MAKES NO WARRANTIES WITH RESPECT TO HARM THAT MAY BE CAUSED BY THE TRANSMISSION OF A COMPUTER VIRUS, WORM, TIME BOMB, LOGIC BOMB, OR OTHER SUCH COMPUTER PROGRAM, BUT ITHAKA WILL EXERCISE A REASONABLE LEVEL OF CARE TO PREVENT SUCH OCCURRENCES. ITHAKA DISCLAIMS ANY LIABILITY AND MAKES NO WARRANTIES WITH RESPECT TO ANY CLAIMS (WHETHER THREATENED, ASSERTED OR FILED) OF ANY KIND RELATING TO LINKS BETWEEN ITHAKA’S AND OTHER SITES OR THE CONTENT ON SUCH LINKED SITES.

7). MISCELLANEOUS

7.1 Authority and Compliance with Law. You represent and warrant that You are over the age of 18 and have the authority to enter into these Terms.

7.2 Entirety of the Agreement; Amendments. These Terms supersede all prior oral and written agreements between You and ITHAKA with respect to the subject matter hereof.

7.3 Notices. All legal notices given pursuant to these Terms will be in writing, in English and sent to the notice address specified below:

Notices may be delivered by hand, overnight carrier, or by registered or certified mail, postage prepaid. All notices sent via mail will be deemed to be received within five (5) business days after mailing if sent by registered or certified mail, postage prepaid. A courtesy copy may be sent by email but will not constitute legal notice unless acknowledged in writing by ITHAKA, with an automatic “read receipt” not constituting acknowledgment of an email for purposes of this section.

7.4 Governing Law. These Terms will be interpreted and construed according to, and governed by, the laws of the State of New York or United States Federal law, as applicable, excluding any such laws that might direct the application of the laws of another jurisdiction. Any disputes or claims arising out of or in connection with this Agreement will be settled by arbitration, including joint and/or consolidated arbitration where practicable, in New York, New York, in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the award rendered by the Arbitrator(s) may be entered in any court having jurisdiction thereof, and the Parties hereby irrevocably consent to this jurisdiction.

The Parties expressly agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms.

7.5. No Third-Party Beneficiary Rights. These Terms have been entered into for the sole benefit of You and ITHAKA and is not intended for the benefit of any third party, regardless of any Law to the contrary. You agree that no third party beneficiary rights have been created under these Terms.

7.6 Waiver or Invalidity of any Provision or Breach. If any provision of these Terms are held to be invalid, illegal, unenforceable, or in conflict with the law of any jurisdiction, all other provisions will remain in full force and effect. A waiver of any breach of these Terms will not be deemed a waiver of other breaches of these Terms..

7.7 Force Majeure. ITHAKA will not be in breach of these Terms if a failure to perform an obligation hereunder results from a condition beyond ITHAKA’s reasonable control, including, but not limited to strikes, labor disputes, terrorist acts, third-party computer viruses, natural disasters, health epidemic, or governmental requirements.

7.8 Modifications to these Terms. ITHAKA reserves the right to make reasonable modifications to these Terms, or any aspect of Transfer Explorer. The latest version of these Terms will be available on the Transfer Explorer website.
